The purpose of the course is to provide the students with sufficient knowledge of the law and practice within the field of corporate law, in order for the students to be able to identify, analyze and come up with resolutions to real legal disputes.

When planning operations, productions, contracts, communications and cooperation with other parties etc., corporate law, as a legal framework, provides an important management tool. This course analyzes those aspects of the law, that influence the decision making process in a company and the students must, collectively and individually, reflect upon, the organization of the firm, with regard to the legal framework. The course contains these subjects: 1. Legal sources, structure of the courts and procedure 2. Contract law 3. Purchase law 4. Marketing- and competition law 5. Torts and breach of contract 6. Surety, fidelity bond and retention of ownership 7. Bankruptcy and bankruptcy proceedings 8. Immaterial rights 9. Payment/guarantee 10. Labor- and employment law 11. International trade – CISG 12. International legal disputes in trade 13. EU law 14. Insurance and reinsurance 15. Purchase and sale of real estate 16. Purchase and sale of movables 17. Money demands – collection and statute of limitation 18. Purchase and sale of credit accounts 19. Financing 20. Industrial arbitration court 21. International trade/commerce contracts

Lectures, discussions and presentation of students submittions

by successful compleation of the course, the students must: • understand and evaluate important aspects within the field of, contract law, Purchase law; marketing- and competition law; compensation and insurance; Surety; fidelity bond; retention of ownership; Bankruptcy and bankruptcy proceedings; • understand selected legal texts, within this course, and be able to discuss these within the legal vocabulary in a trustworthy manner • analyze the legal prospects of persons and firms • identify specific corporate legal circumstances, apply relevant legal concepts, rules and legal sources to that circumstance • articulate resolutions to corporate legal disputes by providing adequate legal methods, rules and legal sources • reflect upon the societal importance of, and the reasons as to why the law is constructed as it is
